This Thanksgiving, I'm grateful for the Minnesota cannabis community, my clients, and my team at North Star!

After Thanksgiving, I'm off to attend mega-event MJBizCon in Las Vegas, after a couple of days in Denver. I plan to visit dispensaries and consumption lounges in Colorado and Las Vegas, as well as meet industry participants and service providers from all over the U.S.

As the 23rd state to legalize, there are so many lessons to be learned from other states, and I hope to come back with lots of new insights and connections. Follow along with me on Instagram! (link below)

Self Help Clinic Recap

North Star Law Group recently sponsored the Self-Help Clinic at Mitchell Hamline School of Law on Saturday November 11th. The clinic is run by law students at Mitchell Hamline, is completely free to anyone in the community, and assists with family matters (such as divorce and custody), criminal matters, and eviction matters. The clinic was able to serve twelve clients in just two hours ranging from criminal expungements to filing for divorce! North Star is grateful to have had this opportunity to give back to the community and ensure legal access to those who may not be able to afford legal representation otherwise.

The Self-Help Clinic’s last weekend for the year is this Saturday from 10am to noon. While appointments are preferred, walk-ins are also accepted. The clinic will resume mid-January after students return from winter break.

Educating via Minnesota State Law Library CLE

This week, North Star Law Group's Jen Randolph Reise and James Gempeler presented a webinar through the MN State Law Library about Minnesota's changing cannabis laws to an audience of 85 judges, clerks, prosecutors, and other government employees!

OCM Updates

There is still time to voice your opinions! Survey ends November 30th.

We are pleased to see MN's Office of Cannabis Management (OCM) moving ahead into the rulemaking process, even though they do not yet have a director.

OCM has announced the first phase of rulemaking has launched, gathering more information about cultivation, processing, manufacturing and other issues. You can read more about the Rulemaking Engagement HERE.

Part of the first phase of rulemaking is a survey requesting public input on cannabis cultivation, processing, and manufacturing rules. They are welcoming feedback on the survey below *by November 30* - please share your thoughts with them!

Minnesota Cannabis News

The Star Tribune published a nice piece about the Minnesota Women's Cannabusiness Network and its networking event last Friday, including profiling Diane Afrooz of Kite Soda, Calandra Revering of new entrants Good Zen and Slay, Kara Witherspoon and Melissa Guidi of Natreum, and Laura Monn Ginsburg of Blunt Strategies. Nationally, women make up only 22% of cannabis business owners, but we certainly have a lot of impressive women in the hemp and cannabis space in Minnesota!

 

Client Highlight: Stoned Tomato

Stoned Tomato was created by Jose Maltos, a Minnesota native, with the goal to provide all cannabis growers, both commercial cultivators and home growers, with quality supplies and equipment.

The Stoned Tomato team has over fourteen years of cultivation, processing, and general business experience ranging from launching new dispensaries to operating and managing large scale cultivation buildouts.

Stoned Tomato’s mission is to ensure quality and support for all growers as well as creative solutions for those who will be applying for a state license. Stoned Tomato is currently located in Baxter and is working to add two more locations soon in the Twin Cities and Southern Minnesota.

Stoned Tomato hopes to bring accessibility to the cannabis growing community through streamlining processes and quality insurance on equipment.

Jose Maltos also hopes to build relationships and collaborate with other cannabis businesses through showcasing and promoting other businesses within Stoned Tomato’s locations.

Stoned Tomato will be hosting educational events by Elevated By Nature and promoting other local businesses such as CannaJoyMN and Sota Boys Smoke Shop inside of its locations with more collaborations to come!

What is a DBA?

A DBA stands for “doing business as.” Sometimes you see it written as d/b/a.

A DBA refers to a trade name or fictitious business name that a company uses when conducting business activities under a name different from its legal business name. A DBA allows businesses to operate under a more marketable or recognizable name without the need to formally change the legal entity name. DBAs offer businesses a chance to rebrand or operate under different names for various product lines. DBAs must be registered with the state, and in Minnesota they need to be renewed each year. It is a fairly simple filing, but it also requires “publication” to be effective.

We recommend that cannabis businesses consider forming under a “boring” name, which they will then use on their taxes, business filings, etc. Then, they can use the DBA process to choose an appealing customer-focused name.

An example of a DBA can be seen with our client profiled above, Stoned Tomato. Stoned Tomato’s owners formed the business with the Minnesota Secretary of State as J&E Supply Inc. Stoned Tomato was chosen as the company’s DBA as it is more attractive to consumers and better represents the cannabis business. When signing legal contracts, its full name is now J&E Supply Inc. DBA Stoned Tomato.

DBAs remain a strategic tool for entrepreneurs seeking a balance between legal compliance and creative brand expression. Whether you are a solo entrepreneur embarking on a new venture or a small business looking to rebrand, DBAs allow businesses to thrive with a name that resonates with their audience and sets them apart in the market.
